1. Introduction and Acceptance

1.1 Agreement to Terms

These Terms of Use ("Terms" or "EULA") constitute a legally binding agreement between you ("User," "you," "your," or "End-User") and Michał Pałys-Dudek, operating as P&D Michał Pałys-Dudek, a sole trader registered in Poland (NIP/EU-VAT: PL8942770995), with registered address at ul. Racławicka 79/27, 53-149 Wrocław, Poland ("we," "us," "our," "Company," "Developer," or "Licensor").

This agreement is solely between you and P&D Michał Pałys-Dudek, NOT with Apple Inc. ("Apple"), Google, or any other platform provider.

1.3 Capacity to Enter Agreement

By using the Service, you represent and warrant that:

  • You are at least 16 years of age
  • You have the legal capacity to enter into binding contracts
  • Your use of the Service complies with all applicable laws and regulations
  • If you are under 18, you have obtained consent from your parent or legal guardian

2. Service Description

2.1 Overview

StudyLM (the "Service," "Application," or "Licensed Application") is an AI-powered study assistance application that helps users analyze, summarize, and create study materials from various content sources including PDFs, documents, images, audio recordings, and video links.

2.2 AI Processing Disclosure

The Service utilizes third-party artificial intelligence models including, but not limited to, those provided by OpenAI, Anthropic, xAI, Google, and Meta. Content you upload may be processed by these third-party services solely for the purpose of providing the Service to you. We are not responsible for the actions or policies of these third-party AI providers beyond our reasonable control.

2.3 Service Availability

The Service is provided on an "as-is" and "as-available" basis. We reserve the right to modify, suspend, or discontinue any aspect of the Service at any time without prior notice.

3. License Grant and Restrictions

3.1 License Grant

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, revocable license to use the Service for personal, non-commercial educational purposes.

3.2 Scope of License (Apple Devices)

For Apple device users, this license is limited to:

  • Use on any Apple-branded products that you own or control
  • Use as permitted by the Usage Rules set forth in the Apple Media Services Terms and Conditions
  • Access and use by other accounts associated with you via Family Sharing or volume purchasing where available

3.3 License Restrictions

You may NOT:

  • Transfer, sell, or sublicense the Service to others
  • Use the Service in violation of any applicable laws
  • Reverse engineer, decompile, or disassemble the Service
  • Remove or alter any proprietary notices
  • Use the Service for commercial purposes without our written consent

4. User Accounts and Registration

4.1 Account Creation

While basic features of the Service are available without registration, certain features may require account creation. You are responsible for:

  • Providing accurate and complete information
  • Maintaining the confidentiality of your account credentials
  • All activities that occur under your account
  • Immediately notifying us of any unauthorized use

4.2 Account Security

You must not share your account credentials with others. We are not liable for any loss or damage arising from your failure to maintain account security.

5. Acceptable Use Policy

5.1 Permitted Use

You may use the Service solely for personal, non-commercial educational purposes in accordance with these Terms.

5.2 Prohibited Conduct

You agree NOT to:

  • Upload, store, or process any illegal, harmful, threatening, abusive, harassing, defamatory, vulgar, obscene, or otherwise objectionable content
  • Violate any applicable laws or regulations
  • Infringe upon any intellectual property rights of others
  • Upload content containing viruses, malware, or harmful code
  • Attempt to gain unauthorized access to the Service or its systems
  • Reverse engineer, decompile, or disassemble any part of the Service
  • Access the Service through any means other than official StudyLM applications
  • Attempt to access our API independently or through unauthorized means
  • Exceed usage limits (maximum 100 documents per day)
  • Use automated systems or bots to access the Service
  • Resell, redistribute, or sublicense the Service
  • Use the Service to harm, deceive, or defraud others
  • Violate your educational institution's academic integrity policies
  • Present AI-generated content as your own original work without proper attribution
  • Violate any third-party terms of agreement (including your wireless data service agreement when using mobile data)

5.3 Content Review Rights

We reserve the right to review user content if we suspect violations of these Terms or illegal activity.

5.4 Legal Compliance Representation

You represent and warrant that:

  • You are not located in a country subject to a U.S. Government embargo or designated as a "terrorist supporting" country
  • You are not listed on any U.S. Government list of prohibited or restricted parties

6. Intellectual Property Rights

6.1 User Content

You retain all ownership rights to the original content you upload to the Service ("User Content"). By uploading User Content, you grant us a limited, non-exclusive, worldwide, royalty-free license to store, process, and analyze your content solely to provide the Service.

6.2 AI-Generated Content

All content generated by the Service's AI features remains owned by the Company. You are granted a limited, non-exclusive, non-transferable license to use Generated Content for personal educational purposes.

6.3 Service Intellectual Property

The Service, including its design, features, functionality, and all associated intellectual property rights, is owned by the Company and protected by applicable intellectual property laws.

6.4 Copyright Compliance

You represent and warrant that you have the right to upload any User Content and that such content does not infringe upon any third-party rights.

6.5 Intellectual Property Infringement Claims

You acknowledge that P&D Michał Pałys-Dudek, not Apple or any other platform provider, is solely responsible for the investigation, defense, settlement, and discharge of any intellectual property infringement claims related to the Service.

7. Privacy and Data Protection

7.1 Privacy Policy

Your use of the Service is subject to our Privacy Policy, which is incorporated into these Terms by reference.

7.2 Data Processing

We process personal data in accordance with the General Data Protection Regulation (GDPR) and other applicable data protection laws.

7.3 Data Deletion

You may request deletion of your data through the Service. We will process deletion requests within 30 days in accordance with GDPR requirements.

8. Subscriptions and Payment

8.1 Subscription Plans

The Service offers both free and paid subscription tiers. Features available in each tier may vary and are subject to change.

8.2 Payment Processing

Payments are processed through platform-specific providers:

  • Apple App Store for iOS users
  • Google Play Store for Android users
  • Stripe for web users

8.3 Automatic Renewal

Paid subscriptions automatically renew unless cancelled before the renewal date.

8.4 Price Changes

We may modify subscription prices with 30 days' notice. Price changes will not affect existing subscribers during their current billing period.

8.5 Refunds

Refund policies are governed by the applicable platform provider. For Apple App Store purchases, users may request refunds directly from Apple.

8.6 Cancellation

You may cancel your subscription at any time. Upon cancellation, you retain access to paid features until the end of your billing period.

9. Maintenance and Support

9.1 Developer Support Obligations

P&D Michał Pałys-Dudek is solely responsible for providing maintenance and support services for the Service. Support can be obtained by contacting support@studylm.app.

9.2 Platform Provider Disclaimer

You acknowledge that Apple, Google, and other platform providers have no obligation whatsoever to furnish any maintenance and support services with respect to the Service.

10. Warranties and Disclaimers

10.1 Limited Warranty

We warrant that the Service will perform substantially in accordance with its documentation for a period of 90 days from download.

10.2 Warranty Remedies

If the Service fails to conform to the warranty:

  • For Apple App Store purchases: You may notify Apple for a refund of the purchase price
  • For other platforms: Contact us directly at support@studylm.app

10.3 Platform Provider Warranty Disclaimer

To the maximum extent permitted by law, Apple and other platform providers have no warranty obligations with respect to the Service. Any claims, losses, liabilities, damages, costs, or expenses attributable to warranty failures are our sole responsibility.

10.4 Disclaimer of Other Warranties

EXCEPT AS EXPRESSLY STATED, THE SERVICE IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.

10.5 Educational Use Disclaimer

The Service is a study aid tool and should not be relied upon as the sole source of learning. We do not guarantee improved grades or academic performance.

11. Limitation of Liability

11.1 Developer Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

  • IN NO EVENT SHALL P&D MICHAŁ PAŁYS-DUDEK BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES
  • OUR TOTAL LIABILITY SHALL NOT EXCEED THE AMOUNT YOU PAID TO US IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM

11.2 Product Claims

You acknowledge that P&D Michał Pałys-Dudek, not Apple or other platform providers, is responsible for addressing any claims relating to the Service, including:

  • Product liability claims
  • Claims that the Service fails to conform to legal or regulatory requirements
  • Claims arising under consumer protection, privacy, or similar legislation
  • Claims related to the Service's use of any frameworks or APIs

11.3 Personal Liability Protection

You acknowledge that you are contracting with Michał Pałys-Dudek as an individual sole trader. Any liability is limited to the business assets of P&D Michał Pałys-Dudek.

12. Indemnification

You agree to indemnify, defend, and hold harmless the Company, its owner, and any third-party service providers from any claims, damages, losses, liabilities, costs, and expenses arising from:

  • Your violation of these Terms
  • Your violation of any third-party rights
  • Your User Content
  • Your use or misuse of the Service
  • Your violation of any applicable laws or regulations

13. Dispute Resolution

13.1 Governing Law

These Terms are governed by the laws of Poland and the European Union, without regard to conflict of law principles.

13.2 Jurisdiction

Any disputes arising from these Terms or your use of the Service shall be subject to the exclusive jurisdiction of the courts in Wrocław, Poland.

13.3 Mandatory Arbitration

Any dispute shall first be submitted to binding arbitration in accordance with Polish arbitration law.

13.4 Class Action Waiver

You agree to bring any claims solely in your individual capacity and not as part of any class, collective, or representative action.

14. Termination

14.1 Termination by You

You may terminate your use of the Service at any time by deleting your account and ceasing all use.

14.2 Termination by Us

We may terminate or suspend your access immediately, without prior notice, if you breach these Terms or engage in prohibited conduct.

14.3 Effect of Termination

Upon termination, your right to use the Service ceases immediately and we may delete your account and associated data.

15. General Provisions

15.1 Entire Agreement

These Terms constitute the entire agreement between you and the Company regarding the Service.

15.2 Severability

If any provision is found unenforceable, the remaining provisions shall continue in full effect.

15.3 No Waiver

Our failure to enforce any provision shall not constitute a waiver of that provision.

15.4 Assignment

You may not assign these Terms without our written consent. We may assign these Terms without restriction.

15.5 Force Majeure

We are not liable for failures due to circumstances beyond our reasonable control.

15.7 Language

These Terms are drafted in English. In case of any discrepancy between versions, the English version prevails.

16. Apple-Specific Terms

The following terms apply specifically to users who download the Service from the Apple App Store:

16.1 Acknowledgement

You acknowledge that these Terms are concluded between you and P&D Michał Pałys-Dudek only, and not with Apple. P&D Michał Pałys-Dudek, not Apple, is solely responsible for the Service and its content.

16.2 Usage Rules

Your use of the Service must comply with the Usage Rules set forth in the Apple Media Services Terms and Conditions, which you have the opportunity to review.

16.3 Apple's Non-Responsibility

Apple has no obligation to furnish any maintenance and support services with respect to the Service.

16.4 Warranty and Refunds

In the event of any failure of the Service to conform to any applicable warranty, you may notify Apple, and Apple will refund the purchase price. To the maximum extent permitted by law, Apple has no other warranty obligation whatsoever.

16.5 Product Claims

P&D Michał Pałys-Dudek, not Apple, is responsible for addressing any claims relating to the Service or your possession and/or use of the Service.

16.6 Intellectual Property

In the event of any third-party claim that the Service infringes intellectual property rights, P&D Michał Pałys-Dudek, not Apple, will be solely responsible for the investigation, defense, settlement, and discharge of such claim.

16.7 Third Party Beneficiary

You acknowledge and agree that Apple and Apple's subsidiaries are third-party beneficiaries of these Terms, and upon your acceptance of these Terms, Apple will have the right (and will be deemed to have accepted the right) to enforce these Terms against you as a third-party beneficiary.

16.8 Minimum Age

You must be at least 16 years old to use the Service, or have parental consent if required in your jurisdiction.
